1. Preamble

Entaleq is a mobile application and website that offers a database that is user generated of accessible locations. Entaleq provides users with a database of locations that they can visit and review with regards to accessibility metrics for people with disabilities. This allows other users to see these reviews, screen which locations they plan to visit, and add their own reviews of the places they visit to expand the database. Rather than leaving accessibility reviews to specialists, Entaleq allows any member of the public to use the tool to review the accessibility of the places. Entaleq also provides guidance to people with disabilities on various living matters such as how to obtain a disability certificate, how to obtain a driver’s license, how to make a vehicle accessible, etc.

Both terms and conditions and the privacy policy constitute a contract concluded between, on the one hand, Helm (address: 5, 204 street, Maadi, Cairo, Egypt and registration number 535266138) and on the other hand each user accessing, downloading, installing and/or using all or part of our services (Mentioned hereinafter as “User”, “You”, “Your”).

You accept these General Terms and Conditions of Use of the Services when you use Our website or our mobile application (Mentioned hereinafter collectively as, the “Entaleq Services”).

You undertake to abide by all relevant contractual requirements by using Our Entaleq Services and accessing, downloading, installing, and/or utilizing them. Therefore, before gaining access to or using this website, please carefully read these General Conditions of Use and Our Privacy Policy.

If You refuse all or part of any of the obligations or conditions in the General Conditions of Use and/or Privacy Policy, please do not continue using Our Entaleq Services.

2. Changes

The Application, Entaleq Services, terms and conditions, privacy policy, and/or the applicable contractual terms may all be modified at any time, in whole or in part. The most recent version of the contractual conditions will always be the one that is available on the Application. Users must routinely check and periodically read the General Conditions of Use and Our Privacy Policy to stay updated on the rules that apply to them, even if We notify You of the change.

In the event of substantial modifications, We will notify You of these modifications within a reasonable amount of time prior to their implementation so that, in the event that You disagree with these alterations, you may terminate your account.

3. Entaleq Services

4. Creating an account

The establishment of an account for Entaleq Services. The User will be prompted to select a username and password when setting up a specific account for Entaleq Services since these details will be used for identification. The password is kept entirely private. A valid email address is required.

In general, the User agrees that all the information he provides for his registration is accurate, correct, and up-to-date and hereby assumes responsibility for the accuracy and veracity of the information provided. The User also undertakes to update all the information relating to his profile in the event of a change in this information.

Any breach by the User, or misrepresentation, with a view to usurping the identity of a third party, is likely to lead to the permanent deletion of the registration without any indemnification of any kind whatsoever.

The User agrees that he is fully responsible for his identifiers and password as well as the use that may be made of his account. In the event of suspicion of unauthorized use of his identifiers by a third party, the User is invited to modify his password.

 In any case, the User undertakes to inform us immediately of any unauthorized use of his account and/or any breach of confidentiality and/or security of his identifiers. If, through the fault of the User, unauthorized use of identifiers is made, said User will be liable for any actions resulting from the misuse of the Application and the related Entaleq Services. Entaleq cannot under any circumstances be held liable for any loss or damage resulting from non-compliance with the User’s obligations stipulated in this article.

5. Availability

Entaleq has no control over the Internet or mobile networks, which are used by Entaleq Application and Services to function. Entaleq and their subcontractors disclaim all liability for the non-availability of the Entaleq Application and/or Entaleq Services as well as for any problems with downloading or accessing the content or for any communication system failure that might prevent users from using the Entaleq Application and/or Services.

6. Location

It is not necessary to utilize the geolocation capability of the Application to view the Maps of Internet users but not using it may prevent you from using some other Services and/or Entaleq functions. Disabling the function specifically prevents Pinpoints around Your location from being displayed.

The configurations you have made for the operating systems of Your smartphone, tablet, and/or internet browser will determine how the geolocation technology is used. To accomplish this, you must first enable the geolocation feature directly in the settings of Your smartphone and/or browser, if You so want, and consent to the Application’s usage of it.

There is a graphic on your screen that indicates when geolocation has been activated. The button located in the Privacy Settings section of your smartphone and/or browser may be used at any time to deactivate the geolocation feature.

7. Use of Entaleq Application and Services

In general, the User undertakes not to engage in acts, of any nature whatsoever, which would have the effect of violating the public order, our rights, or the rights of third parties or more generally, to be contrary to the legal provisions, regulations, or practices in force. In particular, the User undertakes to scrupulously respect the following rules:

–              Not to publish inaccurate or misleading information when creating an account or using Entaleq Services that results in misleading others.

–              Not to publish User Content that would infringe the rights of third parties or Ours, and intellectual property rights, such as copyright, database rights, trademarks or patents, or the personal rights such as the right to privacy, image or honor or dignity.

–              Use the Entaleq Application and Services fairly and in accordance with their purpose and the conditions of use.

–              Not to disseminate messages of a violent nature or likely to seriously undermine human dignity.

–              Not to disseminate any content that could be considered as an incitement to commit crimes and offenses, the dissemination of insulting, abusive, denigrating, defamatory, racist, revisionist messages, glorifying war crimes, sexual crimes, pedophiles, relating to the sale of organs, the sale of illicit substances or any other illicit object and/or service, advocating terrorism, calling for murder or inciting suicide, without this list being exhaustive,

–              Do not attempt to mislead Users, by usurping the name of a natural person or the corporate name of a legal person.

–              Not to use the Entaleq Application and/or Services for advertising purposes in favor of its personal website or for any other commercial purpose unless expressly authorized by Entaleq.

–              Not to harass, assault or provoke in any way one or more other Users.

In addition, the User also agrees not to harm or attempt to harm the integrity or security of the IT infrastructure on which the Application and/or Entaleq Services operate. As such, User undertakes to scrupulously respect the following rules:

–              Not to use the Entaleq Application or Services to transmit unsolicited commercial messages (“spam”).

–              Not to disseminate computer data that would have the purpose of disrupting the normal operation of the Application or Entaleq Services (such as computer robots, viruses, etc.).

–              Not to upload, display, and transmit in any way any content that includes computer viruses, worms, trojan horses, codes, or scripts that may harm the integrity or confidentiality of systems and data

–              Not to collect the information of other Users, including their e-mail addresses, in order to use them in other ways, including but not limited to, sending commercial or equivalent solicitations, or to integrate them within a referencing service.

In the event of a breach by a User of one or more of these rules, the Entaleq Services for the benefit of the User may be temporarily or permanently suspended, without formal notice. In addition, contentious messages may be deleted, and the account may be blocked temporarily or permanently.

8. Intellectual Property

8.1. Ownership of Application,

Entaleq Services. The Entaleq Application and Services are Our property or are subject to a license from third parties for Our benefit.

We are the holders of all the intellectual property rights to both the structure and the content of the Entaleq Application and Services. Nothing herein grants You the right to use the trademarks, logos, domain names, and other distinctive signs of Entaleq.

Any unauthorized use of Entaleq Application and/or Services may give rise to civil and/or criminal legal proceedings and the payment of damages.

8.2. License to use Entaleq Application and Services.

The Application may be used by Users within the framework of the Entaleq Services in accordance with the provisions of these General Conditions of Use.

The mobile version of the Application can be downloaded from the platforms of our partners (e.g., Apple App Store, Google Play) and installed on Your mobile phone and/or tablet. We grant the User a non-exclusive, personal, and non-transferable license to use the Entaleq Application and Services. This license gives the User the rights, strictly enumerated, to access the Entaleq Application and Services and to use them only within the framework and for the purposes provided for in the Conditions of Use and cannot be used for other purposes. Any reproduction, representation, adaptation, modification, translation, transformation, distribution, integration into a website, commercial exploitation or not, and/or reuse in any way whatsoever of all or part of the Entaleq Application and/or Services without the express written authorization of Entaleq is strictly prohibited. Except as provided by law, reverse engineering, disassembling, or decompiling the Application or authorizing anyone to do so is prohibited.

The use of any unauthorized automated or computerized instrument to access, obtain, reproduce, download, or use the Application, the Entaleq Services, and their content is strictly prohibited.

8.3. Ownership of User Content.

 Entaleq Application shall remain the owner of the intellectual property rights of the User information.

8.4. User Content License Agreement.

 In general, and whether the User Content is protected by any right or not, the User waives his rights to Us including the following rights over his User Content:

–              The right to reproduce, modify, adapt, represent, reformat, and translate all or part of the User Content on any recording medium, current or future, and, on any server or hard disk, in any format and by any process or technology known or unknown to date, and by any type of medium of communication, in particular the Internet, intranet, mobile, or written or digital press.

These rights are granted, with a view to ensuring the supply, operation, development, promotion, and advertising of the Application and/or Entaleq Services, or even to carry out research and development programs for future functionalities of hardware, software, and/or services.

User Content does not necessarily reflect the opinion of Entaleq. Entaleq does not necessarily review User Content. We reserve the right to remove, screen, edit, or reinstate User Content from time to time at our sole discretion and without notice to you. We have no obligation to retain or provide you with copies of Your Content, nor do we guarantee any confidentiality with respect to Your Content.

8.5. Suggestions and Improvements

By sending us any ideas, suggestions, documents, or proposals (‘Feedback’), you agree that (i) your Feedback does not contain the confidential or proprietary information of third parties, (ii) we are under no obligation of confidentiality, express or implied, with respect to the Feedback, (iii) we may have something similar to the Feedback already under consideration or in development, and (iv) you grant us an irrevocable, non-exclusive, royalty-free, perpetual, worldwide license to use, modify, publish, distribute and sublicense the Feedback.

8.6. Advertising

Entaleq and its licensees may publicly display advertisements and other information adjacent to or included with Your Content. You are not entitled to any compensation for such advertisements. The manner, mode, and extent of such advertising are subject to change without notice to you.

9. Liability

9.1. Responsibility of Entaleq

We do not in any way guarantee the accuracy or quality of a particular use of the Entaleq Application and Services. Similarly, We cannot under any circumstances be held liable for any consequences that may arise from the interaction of Users with each other through the Application and Entaleq Services.

Due to the particular nature of the Internet network, We may at any time interrupt or restrict access to the Entaleq Application and Services due to events that are unrelated to Us and the User Content, as well as the information communicated by the Users may be destroyed or rendered inaccessible.

Nor can we be held liable in the event of interruption of access to the Application and the Entaleq Services due to maintenance operations, updates, or modifications of all or part of the Application and the Services.

Under no circumstances can our company, its managers, its employees, and, in general, its representatives and partners, be held liable for consequential damages resulting from the use of the Application and the Entaleq Services, and in particular the loss of profit,   or damages arising from the loss of data caused by the impossibility of using the Application and/or the Entaleq Services.

9.2. User Responsibility

The User is responsible for preserving the security and integrity of his data, hardware, and software when accessing the Application or using the Entaleq Services. It is therefore up to the User to make a copy of the information or User Content that he puts online through Entaleq Application and Services.

The User is solely responsible for the use he makes or intends to make of the Application and the Entaleq Services as well as the User Content that he publishes at his discretion on the Entaleq Services and for any consequences that may result therefrom.

The User guarantees Entaleq against any claim brought by third parties on the grounds that the User Content would constitute (i) a violation of intellectual or industrial property rights claimed by third parties and (ii) a violation of the law.

10. Access to Third-Party Sites and Services

The Entaleq Services may contain hypertext links, displayed manually or automatically, which may refer the User to websites published and managed by third parties (the websites of Partners and/or Professionals). We inform the User that We do not exercise any control or monitoring on third-party sites. We are not responsible for the content and services made available on these sites, problems of security or integrity of data, hardware, and software as well as any consequence or damage that may result from the use of these sites.

11. Privacy Policy relating to personal data

Entaleq Services collect information relating to Users. Our Privacy Policy contains important information on the collection, storage, and use of information provided by you when using Entaleq Services. Please read it carefully.

12. Duration – Termination

Entaleq Services are subscribed for an indefinite period. In this case, you may terminate Your agreement with Entaleq at any time by deactivating Your account and/or terminating Your use of Entaleq Services. In any case, whatever the duration, We may suspend or terminate Your account, or cease to provide You with all or part of the Entaleq Application and Services at any time, in particular in the event of (i) breach of the conditions of use (terms and conditions), (ii) insolvency proceedings, (iii) termination of the Entaleq Services for any reason whatsoever. We will use reasonable means to notify You within a reasonable time (except in the event of an emergency or a risk of harm to the integrity, confidentiality, and security of the Application, Entaleq services, or data, in which case suspension or termination may be immediate), to the email address associated with Your account or when You attempt to access Your account. Any suspension or termination will automatically result in the suspension or termination of the user license for Entaleq Application and Services.

13. General provisions

13.1. Waiver: If either party  does not exercise or enforce any right or provision of the General Conditions of Use is not considered a waiver of such right or provision.

13.2. Severability: If a provision of the General Conditions of Use is deemed invalid or unenforceable, this provision will be limited or deleted to the strict extent necessary, and the remaining provisions of the General Conditions of Use will remain in full force.

13.3. Entire Agreement: These General Conditions of Use supplemented where applicable by Our Privacy Policy constitute the entire agreement concluded between Entaleq and You concerning the use of the Entaleq Application and Services.  All prior and future agreements shall remain in force and supplement the terms and conditions and privacy policy of Entaleq.

13.4. Language: In the event of litigation on these General Conditions of Use and/or the Special Conditions and/or the Confidentiality Policy, the Arabic version of the documents will prevail for the interpretation of the said clauses.

14. Applicable law and jurisdiction

14.1. Applicable law: These General Conditions of Use and the Privacy Policy are subject to Egyptian law.

14.2. Jurisdiction: Any claim, legal action, or dispute in relation to Entaleq Application and/or Services will be brought exclusively before the Egyptian courts.
